Mark Jacobs is a creative and accomplished litigator whose practice focuses on complex commercial and real estate disputes. He represents closely held businesses, real estate developers, public companies, and business owners in high-stakes litigation across a broad spectrum of industries. Mark brings a practical approach to litigation, with a focus on defining and achieving successful business outcomes, combining forceful advocacy with strategic risk management and deep industry knowledge.

Mark successfully litigates complex commercial matters in state and federal trial and appeals courts, as well as in arbitration proceedings, involving:

• Pre- and post-closing disputes arising from mergers and acquisitions, including enforcement of letters of intent, breaches of representations and warranties, earn-out calculations, purchase price adjustments, intellectual property transfers and licenses, and executive employment and consulting agreements
• Commercial real estate acquisitions and sales, lease obligations, rights of first refusal and offer,  ownership and title rights, management contracts, construction delays and defects, development agreements, and boundary encroachments
• Contract breaches, business torts, fraud, unfair competition and other disputes with customers, suppliers, consultants, contractors, licensors, and licensees
• Shareholder and owner disputes,  breaches of fiduciary duties, derivative suits, and business dissolutions
• Enforcement of noncompetition agreements and other restrictive covenants
• Protection of trade secrets and proprietary information

Mark also assists clients in transactional and corporate governance matters. He advises clients on business formation and corporate structuring, as well as negotiating and drafting agreements, including commercial leases, operating agreements, joint venture agreements, and asset purchase agreements.

This dual experience—combining trial readiness with a deep understanding of transactional dynamics—gives Mark an edge in resolving disputes efficiently while protecting clients’ broader business interests.

As a leader in the legal community, Mark served for years as a Co-Chair of the Private Equity Litigation Subcommittee of the American Bar Association’s Commercial & Business Litigation Committee.
